Sergey Khromov focuses his practice on advising public and private companies in M&A, corporate governance, securities and capital markets transactions. Substantial experience in projects which involve, among others, different jurisdictions, complex business structures, shareholders issues, drafting founding and other corporate.
Sergey advised in establishing, reorganizing and winding up of companies, holding companies in various industry sectors, as well as opening, extending the operation and closing representative offices of foreign companies in Belarus. In the course of his practice successfully cooperates with antitrust authorities with respect to receipt of the latter’s approvals and permits. Numerously supervised transactions involving real estate. Successfully participated in may corporate disputes.

Work Highlights:

• Supervising the opening of a representative office in Belarus of one the world largest airlines;
• Supervising the accreditation of a representative office of one large Russian banks at the National Bank of the Republic of Belarus;
• Legal support with respect to establishment of an international fund of regeneration of the historical part of Vitebsk city;
• Assisting in the establishment and registration at the Ministry of Finance of the Republic of Belarus of an insurance broker;
• Legal assistance in the establishment of machine-tool holding company in Belarus, engaging more than 16 enterprises of the industry in question with state-owned shares, headed by the largest machine-tool plant in CIS region — MZOR JSC;
• Legal supervision of the establishment of a jewelry holding company in the Republic of Belarus, engaging all enterprises in which state has a share (producers of jewelry, precious stones and metals, state jewelry retail chain);
• Legal supervision of the establishment in Belarus of the international automobile dealers association;
• Legal support with respect to liquidation of a state enterprise established by Minsk City Center of Hygiene and Epidemiology;
• Assisting in the establishment and further corporate changes of a large private household chemicals producer;
• Comprehensive legal assistance in amending articles of association of one of the largest liquor producers in Belarus;
• Supervising the transaction on sale of a large retail facility in Minsk center of one of the largest retail chains in Belarus;
• Legal support in establishment of an enterprise on the basis of an asset complex of one of the largest juice producers and its further contribution into the share capital on behalf of a non-Belarusian shareholder;
• Drafting the necessary legal instruments and participating in negotiations with respect to implementation of the sale scheme engaging a distribution system of the largest fuel station operator in Belarus;
• Legal assistance in the establishment and further sale of a large software developer, resident of High-Tech Park;
• Legal support in incorporating a hotel operator in Belarus;
• Legal supervision of the project involving the establishment of the construction materials producing company.
